  • Primary Signal: How to Spot Fake Revenue in Online Business Listings Before You Offer
  • Overview: Inflated revenue is the oldest trick in business listings. These checks separate real earnings from numbers dressed up for sale....

Fake or inflated revenue in a business listing does not always mean outright fraud, and understanding the softer forms of inflation will protect you better than looking only for obvious lies. Often the trick is a cherry-picked period, a one-off payment counted as recurring income, a cost quietly left out of the profit figure, or a spike in the months before sale that will not repeat under new ownership. Your job as a buyer is not to accuse the seller but to rebuild the numbers from source records, so that your offer rests on verified earnings rather than on a story told by a spreadsheet the seller prepared.

Start with the trend rather than the headline, because a single great month proves very little about a business. Ask for twenty-four months of monthly profit and loss statements, and look for patterns: steady growth is reassuring, a sudden spike in the three months before listing deserves a direct question, and a gradual decline hidden behind a strong recent quarter suggests a business being sold at its peak. Pay attention to how the seller responds to questions about weak months, since a seller with real numbers will explain them calmly with context, while a seller with dressed-up numbers often becomes vague, defensive, or slow to provide the underlying records.

Reconcile reported revenue to bank deposits and payment processor payouts, because this is the check that most inflated listings fail. If the seller claims 10,000 dollars a month but the payment processor shows 6,000, ask where the difference comes from, and treat vague answers about cash, pending payments, or other accounts as a warning rather than an explanation. Follow the money through the full chain: processor payouts should land in the bank account, refunds and chargebacks should appear as deductions, and advertising or platform fees should be visible as costs, not hidden in a net figure that cannot be traced.

Watch for revenue that is real cash but not recurring income, since valuing it with a recurring multiple is one of the most expensive mistakes in micro-acquisitions. Lifetime deals, setup fees, one-time project payments, and annual payments booked in full in the month they arrive can all make a single month look spectacular while contributing nothing to the following year. Separate these items explicitly, value recurring revenue with a multiple, and value one-off cash at or near its face value only, because a buyer who pays a three-year multiple for a one-time payment has bought the same dollar several times over.

Check refunds, chargebacks, and customer acquisition costs separately, because a business can report impressive gross sales while losing money on every order. A high refund rate eats margin and signals product or expectation problems, chargebacks carry fees and account risks beyond the lost sale, and advertising spend that exceeds the lifetime value of the customers it brings in means the business shrinks the moment the owner stops funding growth. Ask for refund rates by product, chargeback history from the processor, and a simple calculation of what each customer costs to acquire versus what they are worth over twelve months.

Make your offer conditional on verified financials, with a clear right to reprice or withdraw if the rebuilt figures differ materially from the listing. This is not an adversarial move but standard practice in serious acquisitions, and it protects both sides by replacing argument with evidence. Cross-check the money against traffic and customers as a final test: if claimed sales would require conversion rates far above the niche norm, or traffic that analytics does not show, the story does not add up, whatever the spreadsheet says. Sellers with real numbers welcome verification, sellers with dressed-up numbers resist it, and that reaction is itself one of the most reliable signals you will get.
