  • Overview: Selling a micro SaaS well takes preparation before listing. This step-by-step guide covers cleaning up metrics, choosing a marketplace, and managing diligence and handover....

Selling a micro SaaS business, typically a small software tool earning modest monthly revenue, is different from selling a larger company. There is no team of advisers, the buyer is often an individual or a small operator, and the whole process may take weeks rather than months. That speed is an advantage, but it also means preparation matters more, because buyers decide quickly and walk away quickly when information is messy. A seller who prepares metrics, documentation, and a clean handover in advance will usually sell faster and for a better price than one who lists first and scrambles later.

Start by making the business transferable. Document how it runs: hosting, payment processing, email sending, customer support, and any manual tasks you perform each week. If you are the only person who knows how to deploy a fix or answer a billing question, write it down, because a buyer discounts heavily for owner dependence. Clean up the code and infrastructure where cheap to do so: remove unused services that cost money, make sure backups work, and confirm that licences and accounts are in the business's name and can be transferred.

Next, prepare honest, verifiable metrics for at least twelve months: monthly recurring revenue, churn, customer numbers, growth, and costs, including your own time. Separate one-off revenue from recurring revenue, and be ready to explain any unusual months, such as a spike from a promotion or a dip from an outage. Buyers trust sellers who explain bad months plainly far more than sellers who hide them, because diligence usually finds them anyway. Decide your minimum price and your walk-away point before listing, based on profit multiples for similar businesses, so you do not negotiate against yourself under pressure.

Micro SaaS businesses are usually listed on specialised marketplaces where buyers already look for small software assets, and some marketplaces verify revenue directly from payment providers, which builds trust. When writing the listing, lead with what a buyer needs to decide: what the product does, who uses it, how much it earns and costs, how much time it takes to run, and why you are selling. A genuine reason, such as focusing on another project or lacking time to grow it, reassures buyers. A vague reason, or no reason, invites suspicion.

Include screenshots of the product and of verified metrics where the marketplace allows, and describe the technology honestly, including its limitations and any known issues. Avoid inflated claims about growth potential: buyers discount hype and reward specifics, such as a feature request list from real customers or a marketing channel that worked once and could be repeated. Set a clear process for enquiries, such as an initial message, a call, and then access to detailed metrics under a confidentiality agreement, so you are not sharing sensitive data with every casual browser.

During diligence, expect buyers to verify revenue against payment records, test the product, review the code or hire someone to do so, and ask about churn, support load, and dependencies. Answer promptly and completely, because slow or evasive answers are the most common reason deals collapse at this stage. When negotiating, remember that price is not the only term: payment timing, a transition period, a non-compete agreement, and what happens to customer data all matter. A slightly lower price with a clean, fast close is often better than a higher price tied to complicated conditions.

The handover is where many micro SaaS sales succeed or fail. Plan a written transition: transfer accounts and domains, introduce the buyer to key customers or partners where appropriate, hand over documentation and credentials securely, and agree a support period, typically a few weeks, during which you answer questions. Do not disappear the day after payment, because early buyer confusion can turn into chargebacks, bad reviews, or a dispute. A thoughtful handover protects your reputation, helps the buyer succeed, and makes it far more likely that any earn-out or deferred payment is actually paid.
